Terms of Service

1. Agreement to Terms

By accessing or using SERPA Africa's website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

SERPA Africa provides Odoo ERP implementation, customization, training, and support services. Our services include but are not limited to:

• Software implementation and configuration
• Custom development and integrations
• Training and enablement programs
• Technical support and maintenance
• Consulting and advisory services

3. Engagement Terms

All project engagements are governed by a separate Statement of Work (SOW) or Service Agreement that outlines specific deliverables, timelines, and fees. These Terms of Service apply in addition to any project-specific agreements.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information
• Make timely decisions and provide required approvals
• Ensure appropriate resources are available for project participation
• Maintain confidentiality of system credentials
• Pay invoices according to agreed terms

5. Intellectual Property

Unless otherwise agreed in writing:

• Odoo software is licensed under Odoo's terms
• Custom developments become client property upon full payment
• SERPA Africa retains rights to methodologies and generic tools
• Pre-existing IP remains with its original owner

6. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of services.

7. Limitation of Liability

To the maximum extent permitted by law, SERPA Africa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

8. Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, express or implied. We do not guarantee that our services will meet all your requirements or be uninterrupted.

9. Termination

Either party may terminate services according to the terms specified in the applicable Service Agreement. Upon termination, client shall pay for all services rendered up to the termination date.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Zimbabwe. Any disputes shall be resolved in the courts of Zimbabwe.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms.
